Complex contractual structures
August & Debouzy’s Commercial & IP/IT group has solid experience in assisting private and public-sector clients with preparing and setting up major projects in France and abroad.
These may be major projects in the fields of manufacturing, culture, IT or science, for example, and August & Debouzy assists its clients at all stages of the proposed transaction:
- Defining the overall strategy of the project and how to structure and finance it in view of the identified stakes and pursued objectives (particularly the creation of a special purpose vehicle, drafting partnership or consortium agreements, the governance rules to adopt, subsidies and other financing that may be obtained);
- Implementing the project, preparing the complex contractual framework to govern the project, and negotiating the contracts in question;
- During the course and at the end of the project, in this respect, handling any issues that may arise during the project (settlement negotiations, litigation) or at the end of the project (reversibility, ownership and use of the results obtained).
August & Debouzy’s Commercial & IP/IT group can also rely on the expertise of the other groups in the firm, depending on the specific aspects of the project in question: public law, company law, employment law, tax law, competition law, etc.
Thanks to this multi-disciplinary approach and our significant experience, we offer our clients support to ensure that their project is implemented in an optimal context so as to meet the operational stakes and objectives set, control risks and ensure compliance with applicable regulatory requirements.
