## Funding your strategic projects *with agility and legal certainty*

Strategic acquisitions, international expansion, infrastructure financing, and industrial investments all require careful trade-offs between cost of capital, contractual flexibility, and preservation of decision-making autonomy. For family-owned businesses, we also address succession planning, governance, and dilution considerations.

We structure tailored financing solutions, including senior debt, mezzanine or unitranche facilities, bond issuances such as Euro PP, US PP, and Schuldschein, leasing arrangements, and sale and leaseback transactions. Our approach anticipates market developments while preserving strategic flexibility.

We advise lenders, borrowers, and sponsors, French and international industrial groups, investment funds, debt funds, credit institutions, and insurance companies. Working in close coordination with our M&A, tax, and restructuring teams, we deliver comprehensive and integrated advice.

## *our*Capabilities

### (01) Structured Finance

We design bespoke financing structures, including intra-group financing, leveraged acquisitions such as LBO, MBO, and MBI transactions, syndicated loans, real estate and asset-based financing, export credit, and leasing arrangements.

At every stage, we negotiate documentation, structure security packages, and anticipate potential points of friction. In coordination with our tax and transactional teams, we optimize the financing architecture to strengthen the negotiating position of senior and mezzanine lenders as well as borrowers. This integrated approach aligns financing strategy with operational objectives.

### (02) Project Finance

We advise on infrastructure projects across sectors including construction, energy, healthcare, and other strategic industries. We support public authorities, industrial operators, funds, and lenders in structuring and negotiating project documentation.

Each financing structure incorporates regulatory constraints, risk allocation mechanisms, and the flexibility provisions required to maintain viability in the face of operational uncertainties. Our experience allows us to anticipate technical bottlenecks and accelerate closing phases.

### (03) Securitization

We structure a broad range of securitization transactions and hybrid securities issuances, including debt instruments, covered bonds, subordinated securities, preferred shares, derivatives such as options, swaps, and warrants, as well as Euro PP issuances.

Our expertise optimizes the legal and tax framework, secures regulatory compliance, and anticipates market developments that may affect valuation or liquidity. We assist issuers and investors at every stage of the transaction.

### (04) Restructuring and Insolvency

In coordination with our specialized teams, we assist clients in both out-of-court and court-supervised restructuring proceedings. Our command of preventive and insolvency procedures enables rapid action, debt renegotiation, and the design of solutions that preserve business continuity.

We act for both debtors and creditors, seeking the optimal balance between value preservation and liability restructuring. This dual capability ensures a comprehensive understanding of the stakes involved.

### (05) Banking and Financial Regulation

We advise credit institutions, investment services providers, and investors on regulatory compliance. Our work covers the incorporation and licensing of entities, relations with supervisory authorities such as the AMF and the ACPR, the marketing and provision of services, including emerging financing models and cryptocurrencies, and ongoing monitoring of regulatory developments.

This expertise enables clients to anticipate compliance constraints and maintain constructive dialogue with regulators.

### (06) Banking and Financial Litigation

We represent clients in both amicable and contentious resolution of disputes involving the enforcement of financing agreements, security interests, and guarantees, including in insolvency proceedings. We also handle disputes arising from mergers, restructurings, and capital markets transactions, disciplinary proceedings before the AMF and ACPR, including insider trading and market manipulation matters, financial disclosure issues, and interbank disputes.

Our approach combines legal rigor with a strong understanding of financial dynamics.

### (07) FinTech

As active participants in the digital transformation of the banking and financial sector, we provide concrete legal solutions to companies operating in electronic payments, crowdfunding, peer-to-peer lending, and crypto-finance.

Our support secures emerging business models, structures relationships with regulators, and anticipates regulatory developments. In doing so, we facilitate these companies’ access to traditional financial markets.

## *FAQ*

### (01) How does a law firm specializing in financing structure an acquisition debt or syndicated loan transaction?

Strategic acquisitions, international expansion or industrial investments: each transaction involves trade-offs between cost of capital, contractual flexibility and preservation of decision-making autonomy. We deploy tailored structures (intragroup financing, LBOs, MBOs, MBIs, syndicated loans, real estate and asset-based financings, export credits, leasing) negotiating documentation, structuring security packages and anticipating friction points. Working alongside our tax and transactional teams, we optimize the financing architecture to strengthen the position of senior or mezzanine lenders and borrowers. For family-owned businesses, we integrate succession, governance and dilution considerations.

### (02) What regulatory requirements govern securitization transactions in Europe?

Securitization transforms receivables into tradable securities, but the technique requires a rigorous legal framework. Regulation (EU) 2017/2402, applicable since 1 January 2019, established a harmonized framework distinguishing simple, transparent and standardized (STS) securitizations from other transactions, with enhanced risk retention, transparency and due diligence requirements. We structure a wide range of transactions: debt securities, covered bonds, subordinated notes, preference shares, derivatives and Euro PPs. Our expertise secures regulatory compliance and anticipates market developments.

### (03) How can you secure a financing restructuring through amicable or insolvency proceedings?

When financial distress threatens business continuity, speed of action determines value preservation. Article L. 611-7 of the French Commercial Code limits the conciliation procedure to four months, extendable by one month at most. Working with our specialized teams, we assist both debtors and creditors in preventive and collective proceedings: mandat ad hoc, conciliation, safeguard and reorganization. We negotiate debt restructuring terms and design solutions that preserve business continuity while achieving the optimal balance between value preservation and debt clearance.

### (04) What regulatory support do financial institutions and FinTech companies need?

Banking and financial regulation is growing more complex with the emergence of new business models. Regulation MiCA (EU) 2023/1114, fully applicable since 30 December 2024, imposes a harmonized European framework for crypto-asset service providers, with a transitional period for French-registered DASPs expiring on 1 July 2026. We assist credit institutions, investment service providers, FinTech companies and investors with compliance: entity formation and licensing, relations with the AMF and ACPR, service marketing and ongoing regulatory monitoring.

### (05) How should you resolve complex banking or financial litigation?

Banking and financial disputes span a wide spectrum: enforcement of financing agreements, security interests, guarantees in insolvency proceedings, disputes relating to mergers or restructurings, capital markets transactions, disciplinary proceedings before the AMF or ACPR, financial disclosure issues and interbank disputes. We defend our clients in the amicable or contentious resolution of these disputes, combining legal rigour with an understanding of financial stakes. Each case is approached with a cross-cutting perspective integrating regulatory, contractual and reputational dimensions.
