### (01) How does a law firm specializing in projects and infrastructure secure the development phase of a major project?

The development phase of a major project (energy, transport, water, telecoms, defence) concentrates the most critical legal risks: permitting, administrative authorizations, land acquisition, competitive dialogue. Law No. 2023-175 of 10 March 2023 on the acceleration of renewable energy production simplified certain authorization procedures and strengthened the role of acceleration zones designated by local authorities. We advise developers, sponsors and public authorities on obtaining administrative authorizations, securing land rights, structuring tenders and managing competitive dialogue with contracting authorities.

### (02) How should you structure the financing of an infrastructure project?

Project finance rests on a complex contractual and financial architecture involving the project company (SPV), construction contracts (EPC, DBFM), operation and maintenance contracts, security interests and intercreditor agreements. We advise sponsors, lenders, export credit agencies and institutional investors on structuring and negotiating financing documents: term sheets, credit agreements, direct agreements, security packages and hedging. Working with our public law, environmental and tax teams, we cover the entire project finance cycle, from financial close to commissioning.

### (03) How should you draft and negotiate construction (EPC, DBFM) and operation (O&M) contracts for an infrastructure?

Construction and operation contracts for infrastructure projects (EPC, DBFM, O&M, concession agreements, administrative long leases) form the legal backbone of the project. Article L. 1111-2 of the French Public Procurement Code defines a concession contract as one by which the contracting authority entrusts the management of a public service or the design, construction and management of works for a fixed term, in exchange for the right to exploit the works or service. We draft and negotiate these complex contracts, structure risk allocation between parties and secure guarantee and indemnity mechanisms.

### (04) How should you manage contractual disputes and litigation arising from a major infrastructure project?

Major infrastructure projects generate complex disputes: contractor claims for cost or delay overruns, scope variation disputes, termination litigation, disputes over penalties and performance guarantees. These disputes simultaneously engage public law, private law and international arbitration rules. We represent sponsors, contractors, subcontractors and insurers before national courts, arbitral tribunals (ICC, LCIA, ICSID) and contractual dispute resolution boards (DAB, DAAB).
