August Debouzy has assisted SARP[1], Veolia’s subsidiary, with the acquisition of Suez RV OSIS, a subsidiary of the Suez group specializing in sanitation and industrial maintenance.
The acquisition of OSIS was carried out following the conditional approval given by the French Competition Authority on 28 April 2021. The two entities had entered into exclusive negotiations in August 2020.
With this acquisition, Veolia is positioning itself as a leading player in sanitation and industrial maintenance in France.
This transaction has given rise to an entity representing approximately 750 million in revenue and 6,700 employees. It is part of Veolia's growth strategy, thanks to the complementary nature of SARP's and OSIS's offerings. This merger will enable the new entity to develop new high value-added services for its public, service and industrial sector customers throughout France.
As part of this transaction, SARP has agreed to sell 8 OSIS offices, mainly located in the Paris region, thus eliminating any concerns regarding compliance with competition law.
August Debouzy's team was represented by Jérôme Brosset (Partner, Private Equity and M&A) and Gwendoline Hong Tuan Ha (Senior lawyer, M&A).
