August Debouzy has assisted SARP[1], a Veolia subsidiary, specialising in sanitation and hygiene services, with the sale of 8 operational centres dedicated to the maintenance of sanitation networks and facilities and located in the Paris region to Séché Assainissement, a subsidiary of the Séché Environnement Group, which specialises in waste treatment and recovery and decontamination services.
This sale was carried out following the approval given by the French Competition Authority on November 19, 2021. An agreement to purchase subject to conditions precedent had been entered into on July 31, 2021.
This transaction came after SARP acquired OSIS, a Suez Group subsidiary, in early 2021 (see press release dated May 21, 2021). At the time of this merger, SARP had made a commitment to the French Competition Authority to sell eight OSIS branches located in the Paris region.
August Debouzy's team was represented by Jérôme Brosset (partner), Gwendoline Hong Tuan Ha (counsel) and Juliette Vachet, for the M&A aspects.
Julien Wlodarczyk (counsel) was also involved in the real estate aspects, Vincent Brenot (partner) and Guillaume Potin (lawyer) in the public law aspects, Catherine Le Manchec (partner), Boris Léone-Robin (senior lawyer) and Méline Duperray in the labour law aspects, and Philippe Lorentz (partner) and Elie Bétard (senior lawyer) in certain tax aspects.
Séché Assainissement was represented by Peltier Juvigny Marpeau & Associés, including Benoît Marpeau (partner) and Etienne Letang (lawyer) regarding M&A aspects, and François Troadec (counsel) for labour law issues.
