August Debouzy has advised Veolia on the proposed sale of its subsidiary SADE-CGTH to the NGE group

August Debouzy has assisted Veolia in entering into exclusive negotiations with NGE, a French construction and civil engineering group, for the sale of its subsidiary SADE-CGTH.

 

SADE-CGTH is a Veolia subsidiary specialising in the construction and rehabilitation of water and infrastructure networks, with annual revenues of approximately €1.1 billion in 2022 and around 6,900 employees.

 

The amount of the sale, in terms of enterprise value, is €260 million.

 

NGE is a French construction and civil engineering group with more than 16,000 employees worldwide in 2022, including more than 12,000 employees in France, and revenues of €3.085 billion.

 

Completion of the transaction is subject to consultation with the various employee representative bodies and the usual regulatory approvals.

 

For this transaction, the August Debouzy’s team included Jérôme Brosset (Partner) and Jean-Damien Boulanger (Counsel) on the corporate and M&A aspects. Veolia was advised by the law firm Tactics (Thomas Picot) on the competition law aspects and by the law firm Flichy Grangé Avocats (Joël Grangé and Marine Conche) on the labour law aspects.

 

NGE was advised by the law firm CMS Francis Lefebvre on the corporate/M&A, tax, competition and financing aspects.
