August Debouzy advised Aura Aero, a French aircraft manufacturer developing low-carbon aircraft, on the court-approved acquisition of VoltAero’s business and assets, pursuant to a judgment of the Tribunal de Commerce of La Rochelle dated 23 June 2026.
The transaction forms part of the broader strategic investment momentum around Aura Aero, supporting the emergence of a leading French player in hybrid-electric aviation and helping preserve in France key technological and industrial capabilities for the future of aviation.
The acquisition enables Aura Aero to integrate complementary expertise in hybrid-electric aircraft architectures, systems integration, flight testing and data analysis. It includes, in particular, the assets and know-how developed around Cassio S, VoltAero’s hybrid-electric flying demonstrator, which has built up several years of flight-test experience.
Through this transaction, Aura Aero strengthens its development and industrialization capabilities across its low-carbon aircraft programmes, including INTEGRAL, ENBATA and ERA, while contributing to the consolidation of a French industrial ecosystem dedicated to sustainable aviation.
In approving Aura Aero’s offer, the court notably took into account the alignment between Aura Aero’s industrial project and VoltAero’s work, Aura Aero’s commitment to maintaining operations at the Rochefort site, and the prospects offered for continuing the technological developments already underway. The court approved the sale of VoltAero to Aura Aero and ordered the transfer of certain assets, contracts and employees attached to the transferred business.
Founded in 2018 by Jérémy Caussade, Aura Aero designs and develops electric and hybrid-electric aircraft. Based at Toulouse-Francazal, the company is pursuing an ambitious industrial roadmap, with the aim of delivering concrete, certifiable and scalable aerospace solutions to support the decarbonization of aviation.

VoltAero was represented by Maître Marc Dufranc and Maître Pauline Brute de Rémur, members of the Bordeaux Bar.
The proceedings were handled by SCP CBF Associés, acting through Maître Thibaut Patard-Piedmont, judicial administrator, and SELARL EKIP’, acting through Maître Marie-Adéline Rousselot-Gegoue, judicial representative and subsequently liquidator.
The employee representatives were assisted by Maître Meddy Miloud and Maître Alexandra Dupuy, members of the La Rochelle Bar.
