August Debouzy advised Abenex in connection with the acquisition of the Dutch companies Polson and MBC Group by its portfolio company Origin Seal, a specialist in industrial sealing solutions.
This transaction represents the third acquisition since Abenex’s investment in Origin Seal in September 2022 and marks the group’s first international expansion. It forms part of the buy-and-build strategy implemented by Abenex to create a leading European platform in industrial sealing solutions.
With more than 60 years of experience, Polson and MBC Group operate across a wide range of industrial applications, particularly in the maritime sector. Their complementary expertise, product ranges and customer bases strengthen the strategic fit with Origin Seal’s existing activities.
The integration of these companies is expected to enhance the group’s technical capabilities, expand its geographic footprint and support its continued development across Europe.
The management teams will remain in place to ensure business continuity and oversee the integration within the Origin Seal group.
The August Debouzy team advising Abenex was composed of Antoine Ricol (partner) and François Richard (senior associate) on corporate / private equity matters, as well as Jennifer Hinge (partner) and Pauline Desplas (senior associate) on financing matters.
Origin Seal was also advised on Dutch law aspects by AKD, with Lennart Crain (partner), Renée Alberts (counsel) and Jesse Algra (associate).
