August Debouzy advised Pierre Brossollet and Arosco on the strategic partnership between RGREEN INVEST and Pierre Brossollet, Founder and CEO of Arverne, a leading French geothermal solutions company listed on Euronext Paris's regulated market. Under the partnership, RGREEN INVEST, through its INFRAGREEN V fund, invested €52.4 million in GEOGREEN, Pierre Brossollet's holding company.
The transaction included GEOGREEN's acquisition of Arverne shares through off-market block trades from existing minority shareholders. It also involved the transfer by Pierre Brossollet, through his family holding company Arosco, of all of his Arverne shares to GEOGREEN, thereby reorganising his indirect interest in Arverne.
As part of the transaction, GEOGREEN also completed a capital increase subscribed for by INFRAGREEN V. Following completion of the transaction, Pierre Brossollet remains GEOGREEN's majority shareholder.
GEOGREEN now holds approximately 25.76% of Arverne's share capital and 19.93% of its voting rights. Arosco and INFRAGREEN V, acting in concert with respect to Arverne, intend to maintain GEOGREEN's interest below the 30% threshold of Arverne's share capital and/or voting rights.
This investment will enable GEOGREEN to become the lead subscriber to Arverne's proposed ORANE bond issue, with a €37 million commitment out of a total issuance of €70 million, alongside Bpifrance, Eiffel Essentiel, ADEME Investissement and Crédit Mutuel Equity.
The proceeds will support the rollout of Arverne's Dual Flow strategic plan, which positions the company as a leading player in geothermal energy and underground energy infrastructure in France and across Europe.
At the same time as the completion of the transaction, GEOGREEN was appointed to Arverne's Board of Directors and will be represented by Alexis Broders, Managing Partner at RGREEN INVEST.
