August Debouzy assists Holcim in the proposed acquisition of the PRB Group

August Debouzy and in particular its German Desk is advising the Swiss group Holcim, one of the major players in innovative and sustainable construction solutions that came into existence from the merger between the French company Lafarge and the Swiss company Holcim, in connection with the negotiations on the proposed acquisition of 100% of the PRB group, the leading independent French company in its sector offering a wide range of high-performance products for the renovation and thermal insulation of buildings.

The entry into exclusive negotiations had been announced on January 11, 2022 after the signature of an agreement allowing to start the information/consultation procedure with the PRB Group's employee representative bodies.

The PRB Group, whose turnover is forecast at 340 million Euros for 2022, employs more than 700 employees working in state-of-the-art facilities including its research and development center, its 5 production plants and its 26 logistics depots. PRB also relies on 1,300 distribution outlets.

The proposed acquisition fits perfectly with Holcim's "Accelerating Green Growth" strategy, which aims to expand its Solutions & Products business to account for 30% of the Group's net sales by 2025, by penetrating the most attractive segments in the construction value chain, from roofing to repair and renovation.

The transaction is expected to close in the second semester of 2022, subject to customary closing conditions, including the approval of the French Competition Authority.
