August Debouzy advised Chausson Matériaux, France’s leading independent distributor of building materials, on the acquisition of Frans Bonhomme’s business in France, the French leader in multi-channel distribution of materials and solutions for networks and infrastructures.
Chausson Matériaux entered into “exclusive negotiations” to acquire the French operations of Frans Bonhomme (which represent the majority of the group), which is currently controlled by the financial company Hayfin. The transaction is expected to be finalized in the first quarter of 2025, subject to consultation with staff representative bodies and obtaining the required administrative authorizations, including approval from the French Competition Authority (Autorité de la concurrence).
This acquisition project is fully in line with Chausson Matériaux’s strategy of external growth and market diversification. Following the successful integration of 80 Réseau Pro stores in 2013 and 105 Bois & Matériaux branches in 2020, Chausson Matériaux aims to strengthen its position in strategic segments and further diversify the target markets. Additionally, this acquisition will support Frans Bonhomme in pursuing its development goals within its core market segments.
The August Debouzy team, led by partner Etienne Mathey, included Jean-Damien Boulanger (counsel), Coralie Foucault (senior associate) and Elina Alfarmini (associate) for the corporate aspects, Guillaume Aubatier (partner) and Alix Kianpour (associate) for the real estate aspects, Vincent Brenot (partner) and Ghislain Minaire (counsel) for the public law aspects, Alexandra Berg-Moussa (partner) and Paul Vialard (associate) for the contractual aspects, Florence Chafiol (partner) and Ariane Seyed-Movaghar (associate) for the IT and data privacy aspects, Pierre Pérot (counsel) and Camille Abba (associate) for the IP aspects as well as Olivier Attias (partner) and Claire Li (associate) for litigation aspects.
