Energy

August Debouzy advised GazelEnergie, an energy supplier owned by the EPH Group of Daniel Křetínský, in connection with exclusive discussions with ilek, a supplier of green electricity and biogas, regarding its proposed acquisition.

GazelEnergie is a French energy producer and supplier and a subsidiary of EPH, the seventh-largest energy group in Europe, which has been active in France since 1995. GazelEnergie is engaged in the energy transition of its legacy generation assets and is developing renewable energy projects, including renewable electricity, heat, hydrogen, and flexibility solutions. The company operates an installed capacity of 900 MW.

This strategic transaction is intended to accelerate the rollout of a green electricity and gas supply offering based on locally sourced renewable production, at competitive prices for both households and businesses in France. Through this contemplated acquisition, GazelEnergie aims to strengthen its position as an integrated energy transition player, covering the entire value chain from production to end consumers.

The information and consultation procedures with the relevant employee representative bodies (Comités sociaux et économiques, CSE) have been initiated. Completion of the transaction remains subject to the outcome of these procedures, as well as to the receipt of the required regulatory approvals.

GazelEnergie was advised by an August Debouzy team coordinated by Julien Aucomte (partner), with Audrey Thomas (counsel), David Neuwirth (senior associate) and Albane Shehabi (associate) on corporate / M&A matters; Ergen Ege (counsel) on energy matters; Virginie Devos (partner), Boris Léone-Robin (counsel) and Coralie Vodarzac (associate) on employment law matters; Vincent Brenot (partner) and Guillaume Potin (senior associate) on public and regulatory law matters; Alexandra Berg-Moussa (partner) and Aurélien Micheli (counsel) on contractual matters; Florence Chafiol (partner), Charlotte Chen (senior associate) and Ariane Seyed Movaghar (associate) on data protection and IT matters; Pierre Perrot (counsel) and Inès Bouzayen (senior associate) on intellectual property matters; Olivier Attias (partner) and Claire Li (associate) on litigation and compliance matters; Guillaume Aubatier (partner) and Malvina Dahan (senior associate) on real estate law matters; and Jennifer Hinge (partner) and Pauline Desplas (senior associate) on financing matters.
